Terms of Service

The short version: the free check is an automated, preliminary estimate, not a guarantee and not legal or financial advice. You keep ownership of your documents, we keep them confidential and use them only to serve you, and you decide what, if anything, to raise with your 3PL. Paid services have their own written agreement.

1. Who we are and what these Terms cover

These Terms of Service ("Terms") are an agreement between you and AURUM DAYS LLC ("Overrate", "we", "us"). They cover our website, our free invoice check, and related communications (together, the "Services"). Paid services, such as recovery audits and invoice monitoring, are provided under a separate written agreement. If that agreement conflicts with these Terms, that agreement controls.

By using the Services, or by checking the box on our upload form, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of a company, you confirm that you're authorized to accept these Terms for it, and "you" includes that company.

2. Business use only

The Services are for businesses. You must be at least 18 years old and use them for business purposes, not personal, family or household purposes.

3. The free invoice check

  • What it is. An automated, preliminary review of the contract and invoices you upload. We use software, including third-party artificial intelligence services, to read your documents and compare charges with the prices in your contract.
  • No guarantee. Results can be incomplete or wrong. They are estimates, not a finding that your 3PL has billed you incorrectly, and not a promise that you will recover any amount. A full review is needed to confirm any issue before it is raised with your 3PL.
  • Availability. We may limit, suspend or stop the free check at any time, including by setting limits on how often it can be used.
  • Your result link. Your results are shown on a private link. Anyone with the link can see your summary, so please keep it private.

4. Your documents and information

"Your Content" means the documents and information you give us, such as contracts, invoices, data exports and contact details. You keep all rights to Your Content. You give us a limited, non-exclusive license to store, copy, process and analyze Your Content only to provide the Services to you, to communicate with you, and as described in our Privacy Policy.

You promise that:

  • you have the right to share Your Content with us for this purpose, including under any confidentiality obligations you owe your 3PL or anyone else;
  • Your Content doesn't contain malware and doesn't break any law; and
  • you'll avoid uploading personal information about individuals (such as your customers' names or addresses) beyond what's needed to review your invoices.

Benchmarks. Only if you opt in, we may include your prices in anonymized, aggregated benchmarks that are combined with other data so that they don't identify you.

5. Confidentiality

We treat Your Content as confidential. We use it only to provide the Services to you. We don't sell it, and we don't share it with third parties, except with service providers that help us run the Services (for example, hosting and document-reading providers) under obligations to protect it, or when the law requires. If you'd like a mutual non-disclosure agreement, we'll sign one.

6. Our role, and your decisions

  • We provide billing analysis. We are not a law firm, accounting firm or financial adviser, and nothing we provide is legal, tax, accounting or financial advice.
  • You decide whether to raise any issue with your 3PL. We don't contact your 3PL or act on your behalf unless you authorize it in writing.
  • Your agreements with your 3PL, including any deadlines for disputing an invoice, are your responsibility. Our results reflect only the documents we received, and may miss terms we weren't given, such as amendments or approvals.

7. Fees

The free invoice check is free. Any paid service, and its fees (for example, a fee based on credits or refunds you actually receive, or a monthly fee for ongoing monitoring), is set out in a separate written agreement before any paid work begins.

8. Acceptable use

You agree not to: use the Services unlawfully; upload documents you're not authorized to share; upload malware; interfere with or overload the Services; use bots or automated means to submit checks or collect content; get around usage limits or security measures; reverse engineer the Services; or use the Services to build a competing product.

9. Our intellectual property

The Services, including our website, software, reports, methods and content (other than Your Content), belong to us and our licensors. We give you a limited right to use the results we provide you for your own internal business purposes. If you send us feedback, we may use it without any obligation to you.

10. Third-party services

The Services may rely on or link to third-party services. We aren't responsible for third-party services we don't control, and their own terms may apply.

11. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty that the Services will be uninterrupted, secure or error-free.

12. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to the Services, even if we were told they were possible. Our total liability for all claims arising out of or relating to the Services is limited to the greater of (a) the fees you paid us for the Services in the 12 months before the event giving rise to the claim and (b) US $100.

Some jurisdictions don't allow some of these limitations, so they apply to you only to the extent the law allows.

13. Indemnity

You will defend and indemnify us against third-party claims, and related losses and reasonable costs, arising from Your Content (including a claim that sharing it with us breached a confidentiality obligation), your breach of these Terms, or your misuse of the Services.

14. Ending these Terms

You can stop using the Services at any time and ask us to delete your information by emailing hello@getoverrate.com. We may suspend or end your access if you break these Terms or if we stop offering the Services. Sections 4 (benchmark data already aggregated), 5, 6 and 9 through 16 survive.

15. Changes

We may update the Services and these Terms. We'll post the updated Terms here with a new effective date, and for material changes we'll give reasonable notice (for example, on this site or by email). Continuing to use the Services after changes take effect means you accept them.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before filing a claim, each of us agrees to try to resolve the dispute informally by giving the other written notice and at least 30 days to respond. Any claim that isn't resolved will be brought exclusively in the state or federal courts located in California, and both of us consent to their jurisdiction.

17. General

These Terms, our Privacy Policy and any separate written agreement for paid services are the entire agreement between us about their subject. If any part of these Terms is unenforceable, the rest stays in effect. Our not enforcing a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We're not liable for delays caused by events beyond our reasonable control. We're independent contractors, and these Terms create no partnership, agency or employment relationship. We may send notices to the email address you gave us.
